License Agreement

The following User Agreement (“Agreement”) governs the use of products developed by ArtOfTrip Ltd. (“ArtOfTrip” or “Company”), namely the ArtOfTrip service (“Site”) and the ArtOfTrip mobile application (“Mobile Application”), which serve as tools for managing an organized tour, communicating between tourists and the tour organizers (tour operators, travel agents, guides, etc.), sending specific location coordinates, storing documents related to a specific tour, warning the participants about the occurrence of an event, and many more advantages provided by the Mobile Application and Site to tour operators, travel agents, guides and other tour coordinators, as well as to the tourists[YS1] themselves.
Please read the terms and conditions contained in this Agreement carefully. You can access this Agreement at any time at https://www.artoftrip.com/user-agreement. Use and/or registration in the Mobile Application and/or Site will mean your continued acceptance of this Agreement. If you cannot accept this Agreement, please do not use the Mobile Application and/or Site.
This EULA agreement shall apply only to the Site and Mobile Application supplied by ArtOfTrip herewith regardless of whether other software is referred to or described herein. The terms also apply to any ArtOfTrip. updates, supplements, Internet-based services, and support services for the Site or Mobile Application, unless other terms accompany those items on delivery. If so, those terms apply.
License Grant
1. ArtOfTrip hereby grants you a personal, non-transferable, non-exclusive license to use the Site and Mobile Application on your devices in accordance with the terms of this EULA agreement.
2. You are permitted to load and install the Mobile Application on your mobile devices (for example mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Mobile Application.
3. You are not permitted to:
  - Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Mobile Application nor permit the whole or any part of the Mobile Application to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Mobile Application or attempt to do any such things
  - Reproduce, copy, distribute, resell or otherwise use the Mobile Application for any commercial purpose
  - Allow any third party to use the Mobile Application on behalf of or for the benefit of any third party
  - Use the Mobile Application in any way which breaches any applicable local, national or international law
  - Use the Mobile Application for any purpose that ArtOfTrip considers is a breach of this EULA agreement.
NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE ARTOFTRIP SITE AND MOBILE APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARTOFTRIP AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED SITE AND MOBILE APPLICATION ARE PROVIDED "AS IS" AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON INFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.
Intellectual Property and Ownership
1. ArtOfTrip shall at all times retain ownership of the Site and Mobile Application as originally downloaded by you and all subsequent downloads of the Site and Mobile Application by you. The Site and Mobile Application (and the copyright, and other intellectual property rights of whatever nature in the Site and Mobile Application, including any modifications made thereto) are and shall remain the property of ArtOfTrip.
2. ArtOfTrip reserves the right to grant licenses to use the Site and Mobile Application to third parties.
Termination
1. This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to ArtOfTrip.
2. It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
Governing Law
1. This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Israel.
